These Terms of Service (the “Terms”) constitute a legally binding agreement between you (“you” or “your”) and NodBuddy, Inc., a Delaware corporation (“NodBuddy,” “we,” “us,” or “our”), governing your access to and use of the NodBuddy website (nodbuddy.com and any subdomains), the NodBuddy mobile application, and all related features, content, and services (collectively, the “Service”).

Your use of the Service is also subject to our Privacy Policy, located at https://nodbuddy.com/privacy (the “Privacy Policy”), which is incorporated herein by reference and forms part of these Terms.

By accessing the website, downloading or using the app, or otherwise using the Service, you agree to be bound by these Terms and the Privacy Policy in their entirety. If you do not agree, you must immediately cease all use of the Service.

1. Definitions
• “Service” means the NodBuddy website, mobile application, and all related features, including the manual hold-to-check-in button and optional gentle outreach to trusted contacts.
• “User Content” means any information or materials you provide or upload, including trusted contact details, check-in preferences, optional profile photos, and any other content you choose to upload.

2. Description of the Service
NodBuddy is a thoughtful lifestyle connection tool that lets you quietly confirm you’re doing fine with a simple hold-to-check-in button. If you haven’t checked in recently, NodBuddy can send a gentle, caring message to your chosen trusted contacts, encouraging them to reach out and say hello. Notifications may include your profile photo (if enabled) and are sent via available channels (push, SMS, email).
The Service is provided for convenience and informational purposes only.

3. Subscriptions and Payments
NodBuddy offers one paid subscription plan: NodBuddy Connect.
• NodBuddy Connect: $9.99 per month or $79.99 per year (approximately 33% annual discount). Includes unlimited hold-to check-in, up to 5 trusted contacts, gentle customizable outreach messages, escalating soft reminders, full activity history, and priority support.
New users receive a 7-day free trial of NodBuddy Connect with full access. The trial begins immediately upon signup and automatically converts to the paid subscription (monthly or annual) unless canceled before the end of the trial period.
All subscriptions are auto-renewing and managed exclusively through in-app purchases via the Apple App Store or Google Play Store. 
Payments are charged to your selected payment method on a recurring basis until canceled. You may cancel anytime through your app store account settings, but cancellation must occur at least 24 hours before the end of the current billing period to avoid renewal charges.

All billing, cancellations, refunds, and disputes are handled solely by the applicable app store. NodBuddy does not process payments directly and provides no refunds or credits for partial periods or unused features.

4. Eligibility
You must be at least 18 years of age (or the age of majority in your jurisdiction, whichever is greater) and legally capable of entering into binding contracts. By using the Service, you represent and warrant that you meet these requirements.

5. Account Registration and User Responsibilities
You must provide accurate, current, and complete information when creating an account. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Two-factor authentication (2FA) is required and must remain enabled at all times.

You warrant that you have obtained all necessary consents and permissions before providing any third-party information (such as trusted contacts). You are solely responsible for any consequences arising from inaccurate information or lack of consents.

6. Critical Reliability and Use Disclaimers
THE SERVICE IS NOT AN EMERGENCY RESPONSE SYSTEM, MEDICAL DEVICE, LIFE-SAFETY TOOL, OR PROFESSIONAL MONITORING SERVICE. IT IS NOT DESIGNED, INTENDED, OR GUARANTEED TO REPLACE PROFESSIONAL EMERGENCY SERVICES SUCH AS 911 OR EQUIVALENT.

THE SERVICE IS PROVIDED FOR INFORMATIONAL AND CONVENIENCE PURPOSES ONLY. YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT ANY USE OF OR RELIANCE ON THE SERVICE IS AT YOUR SOLE RISK. NODBUDDY DOES NOT GUARANTEE THAT NOTIFICATIONS WILL BE DELIVERED, RECEIVED, OR ACTED UPON. DELIVERY MAY BE AFFECTED BY NETWORK CONDITIONS, DEVICE SETTINGS, CARRIER ISSUES, OR OTHER FACTORS BEYOND OUR CONTROL.

IN NO EVENT SHALL NODBUDDY OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INJURY, HARM, DEATH, PROPERTY DAMAGE, OR OTHER LOSS OF ANY KIND ARISING FROM OR RELATED TO YOUR USE OF OR RELIANCE ON THE SERVICE, MISSED CHECK-INS, FAILED NOTIFICATIONS, OR ANY OTHER ASPECT OF THE SERVICE, REGARDLESS OF CAUSE OR FORESEEABILITY, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

7. Limited License
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes on devices you own or control, subject to these Terms.

8. Prohibited Conduct
You agree not to: (a) use the Service for unlawful or harmful purposes; (b) interfere with or disrupt the Service; (c) reverse engineer or attempt to derive source code; (d) remove proprietary notices; (e) encourage violation of these Terms; (f) abuse notification features; (g) upload unlawful, infringing, harassing, or otherwise objectionable content, including deepfakes or non-consensual images.

9. Intellectual Property and User Content
All rights in the Service belong to NodBuddy and its licensors.

By uploading User Content, you grant NodBuddy an irrevocable, perpetual, worldwide, royalty-free, fully paid-up, transferable, sublicensable license to use, store, display, reproduce, modify, adapt, create derivative works from, distribute, perform, and otherwise exploit such User Content for any purpose whatsoever, including operating, improving, and promoting the Service.

You represent and warrant that you own or have all necessary rights and consents for any User Content you upload. You waive any moral rights, rights of publicity, or privacy rights in User Content to the maximum extent permitted by law.

10. Notification Security and Abuse Prevention
Notifications are end-to-end encrypted where available. We implement rate-limiting, monitoring, and safeguards to prevent abuse and enhance reliability.

11. Termination
NodBuddy may immediately suspend or terminate your access to the Service at any time, for any reason or no reason, with or without notice, and without liability. Upon termination, all licenses granted to you cease immediately. We may also terminate inactive accounts or discontinue the Service at any time.

12. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, OR NON-INFRINGEMENT. NO ADVICE OR INFORMATION PROVIDED BY NODBUDDY SHALL CREATE ANY WARRANTY.

13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NODBUDDY’S AGGREGATE LIABILITY ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO NODBUDDY IN THE PRIOR 12 MONTHS OR (B) USD $100.

IN NO EVENT SHALL NODBUDDY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, GOODWILL, DATA, OR PERSONAL INJURY/DEATH, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

14. Indemnification
You agree to defend, indemnify, and hold harmless NodBuddy and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, breach of these Terms, violation of any law, or your User Content or third-party information.

15. Force Majeure and Export Compliance
NodBuddy is not liable for delays or failures due to causes beyond our reasonable control. You warrant that your use of the Service complies with all applicable export, sanctions, and other laws.

16. Governing Law and Dispute Resolution
These Terms are governed by Delaware law, without regard to conflict of laws principles, subject only to mandatory consumer protection laws that cannot be waived.

All disputes shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) in Wilmington, Delaware, on an individual basis only. You waive any right to bring or participate in class, collective, or representative actions. Small claims may be brought in your county of residence or New Castle County, Delaware.

17. Changes to These Terms
We may modify these Terms at any time in our sole discretion. Changes take effect upon posting. Continued use of the Service constitutes acceptance of the modified Terms.

18. Miscellaneous
• Severability: If any provision is held invalid, the remaining provisions remain in full force.
• Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement.
• Assignment: NodBuddy may assign these Terms. You may not assign without our consent.
• No Waiver: Our failure to enforce any right does not constitute a waiver.
• Survival: Provisions related to Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law survive termination.
• No Third-Party Beneficiaries: These Terms do not confer rights on third parties.
